Doing Business in Ireland: Local Knowledge and International Expertise

Local Irish advisory & Support

By way of example, one of our clients is a USA-based Bio-pharmaceutical company. In 2020, the client incorporated an Irish entity as a foothold into the EU. The client needed a partner they could lean on to advise on Irish local competencies while understanding the goals of the parent company in the US. We guided this company through the setup process, from statutory filings to tax registrations for the Irish entity, to opening up of an Irish bank account. On an ongoing basis, our team based in Limerick, with an office in Dublin, would support, deliver and report on the Irish Management Accounting and payroll operations.

As a company moves past the market entry phase of their growth, the stakeholders’ needs can become more complex and require more robust ongoing support. In the case of the pharmaceutical company, an upcoming fund raise meant that the requirements and reports would be continuously evolving. The deliverability and credibility of the financials was key, and Amesto Global was able to provide frequent updates and presentations to the board regarding the financials, provide CFO/Financial Director advisory to the board in relation the third-party discussions and assist with any external presentations to Investors and third parties.

Establishing a Local Irish entity

In another example, one of our clients is a NASDAQ listed tech company and US market leader in their chosen field. The client expanded to Europe initially, with an office in the United Kingdom and subsequently with expansion to France, Spain, Italy, Poland and Luxembourg in early 2020. For the past four years, Amesto Global has supported this client’s international operations through our bespoke delivery team based in Ireland in combination with our in-country partner firms to handle any local/statutory compliance matters. The client also closed an acquisition in Germany in May 2021, with four other entities established throughout Europe.

Toward the end of 2021, the client, a rapidly expanding tech company, looked to Ireland as a prime location to establish an entity to build out their European Research & Development team. The company planned to hire nearly 30 Engineers to start in Ireland and also required the provision of an Irish Resident Director. Through our closely held relationship with the client and in-depth knowledge of doing business in Ireland, we were able to establish the Irish entity immediately while ensuring that the accounting and payroll operations in Ireland would mirror the rest of the European operations. In addition, we were able to provide the client with an Irish Resident Director to ensure all in-country company secretarial needs are met. Amesto Global delivered for this client the preparation of first board minutes and share certificate(s), filing of all relevant statutory forms, writing up the statutory registers and provision of statutory books in order to get their entity off the ground. On an ongoing basis, we are supporting the client with not only their Irish accounting & payroll processing, but delivering a global, bespoke solution that we have planned, designed and implemented.
